To all members of Miranda Musical Theatre Company Incorporated,
Notice is hereby given that the following special resolution will be proposed at the upcoming Extraordinary General Meeting of the Miranda Musical Theatre Company Incorporated. The date of the meeting is 27th of November 2024 at 7:30pm and it will be held at Como School of Arts and online for those unable to travel to Como.

Motion for Special Resolution
“That the members of Miranda Musical Theatre Company Incorporated approve and adopt the revised constitution as circulated, replacing the current constitution in full.”

Background
The committee has conducted a comprehensive review of our current constitution to ensure that it remains up-to-date, legally compliant, aligned with best practices for incorporated associations and to position the association for the best opportunity of being approved as a registered charity with the Australia Charities and Not-for-profits Commission and the ATO. The revised constitution, which was discussed and provisionally approved by the committee, positions the association for the future and reflects improvements in governance and operational clarity.

Resolution
The members of Miranda Musical Theatre Company Incorporated resolve as follows:

Approval of Revised Constitution: The members approve the adoption of the revised constitution, which was provided to all members prior to the meeting and reviewed in discussion sessions.

Replacement of Existing Constitution: The existing constitution of Miranda Musical Theatre Company Incorporated is to be repealed in full and replaced by the revised constitution as presented.

Effective Date: The new constitution will take effect immediately upon the passing of this resolution and lodgement with the relevant regulatory authority.

Rationale for the Change
This updated constitution aims to:

Position the association for best opportunity for approval of charity status.

Improve governance and streamline management processes.

Clarify the rights and responsibilities of members and officeholders.

Ensure compliance with relevant laws and regulations governing incorporated associations.

Voting Requirements
Further information will be sent shortly in regards to how you can vote.
As this is a special resolution, it requires the approval of at least 60% of the votes cast by full members and life members of the Society.
The definition of a full member is “Being a person who is a financial member and who has been so for a period exceeding 12 months.” This may not include all those members that have been part of our recent productions but we encourage all members to attend regardless of your ability to vote on this important step for the association.

Implementation
Upon passing, the revised constitution will be filed with the relevant regulatory authority, completing its adoption.

Your Attendance and Vote
We encourage all members to attend the Extraordinary General Meeting and participate in this important decision regarding our association’s future. A link will be sent for a Microsoft Teams meeting for those members that are unable to attend in person. When attending remotely, you will be able to participate in discussions and questions.
You will be required to vote via a show of hands at the meeting.
Please set up your device’s camera and audio for use with Microsoft Teams in advance of the meeting.
