Extraordinary General Meeting

To all members of Miranda Musical Theatre Company Incorporated, 

Notice is hereby given that the following special resolution will be proposed at the upcoming Extraordinary General Meeting of the Miranda Musical Theatre Company Incorporated. The date of the meeting is Wednesday 29th January at 7pm  and it will be held at Como School of Arts and online on Zoom for those unable to travel to Como.

Motion for Special Resolution 

That the constitution of Miranda Musical Theatre Company Incorporated Statement of Objects clause 8) be amended by replacing the existing clause:

​

"In the event of the winding up or the cancellation of the incorporation of the Company any surplus property or assets shall vest in a company having the same or similar objectives as the Company nominated by a special resolution of its members."

 

with the following clause:

 

"In the event of the organisation being dissolved, all assets that remain after such dissolution and the satisfaction of all debts and liabilities shall be transferred to another organisation with similar purposes, which is charitable at law and which has rules prohibiting the distribution of its assets and income to its members."

Background 

The Committee has made application to become a charity and we have been given the requirement that our wind up clause needs to ​deal with our charity status. This was anticipated but we didn't include the charity item in the clause as we were not yet a charity. Charity Status is dependent on this revised wind up clause being included in our constitution and we have been advised that our charity status will be dated from the meeting that the society adopts this change.

Rationale for the Change

This amendment ensures that any remaining assets upon dissolution are transferred to a charitable organisation with similar purposes and safeguards against improper distribution of assets, aligning with legal and governance best practices.

 

Voting

Members are requested to vote Yes to approve this amendment or No to reject it. Each voting member is entitled to vote once only.

​Voting Requirements 
Voting will be by an online ballot paper and votes will be validated as part of the decision.

​

The voting form is found here and voting will open from now until the 29th of January. Ballot results will be tabulated and the result made know to members within 7 days of the closure of the vote.


As this is a special resolution, it requires the approval of at least 70% of the votes cast by full members and life members of the Society.

The definition of a full member is “Being a person who is a financial member and who has been so for a period exceeding 12 months.” This may not include all those members that have been part of our recent productions but we encourage all members to attend regardless of your ability to vote on this important step for the association.

Implementation 

Upon passing, the revised constitution will be filed with the relevant regulatory authority, completing its adoption and the Australian Commission of Charities and Not For Profits will be advised.

​

Your Attendance

We encourage all members to attend the Extraordinary General Meeting and vote. A link will be sent for a Zoom meeting for those members that are unable to attend in person. When attending remotely, you will be able to participate in discussions and questions.

​
