Extraordinary General Meeting

The Committee of Miranda Musical Theatre Company Incorporated (MMTCi) hereby gives notice of a Special General Meeting to be conducted via electronic ballot, in accordance with Schedule 2 of the Associations Incorporation Regulation 2022 (NSW).

This ballot seeks member approval to adopt a revised Constitution that includes specific clauses required for MMTCi to apply for Charity Registration and Deductible Gift Recipient (DGR) status under Australian law.

DETAILS OF THE SPECIAL RESOLUTION BALLOT

​

• Matter for Determination:
  That the Constitution of Miranda Musical Theatre Company Incorporated, as adopted on 27 November 2024, be replaced with the Draft Constitution dated 19th May 2025 incorporating amendments required to apply for registration as a charity and endorsement as a Deductible Gift Recipient (DGR).
   

• Statement Prepared by Committee:
  This amendment supports MMTCi’s application to the Australian Charities and Not-for-profits Commission (ACNC) and the Australian Taxation Office (ATO) to be formally recognised as a registered charity and endorsed for DGR status. It allows us to receive tax-deductible donations and ensures our objectives, gift fund and winding-up clauses meet charity law requirements.

• Returning Officer Appointed:

  • Sue Dennis, who is not a committee member, has been appointed to independently manage the ballot.

• Voting Opens: 28/4/2025

• Voting Closes: 5pm on 19/5/2025

• Method of Voting: Electronic ballot (via secure voting link provided below)

 

HOW TO VOTE

You are entitled to vote in this ballot if you are a current financial member aged 18 or over and have been a member for at least 12 months.

You are being provided with:

1. The full Statement of the Special Resolution (see above)

2. A copy of the following documents:

   • Current Constitution here

   • Proposed Revised Constitution (with changes for charity/DGR status)] here

3. Access to the Electronic Ballot Paper, available at the following link:

   • This form includes instructions, the question to be determined, and the option to record your vote.

   • Please submit your vote no later than 5pm on 19/5/2025

 

The ballot is not a secret ballot, and your identity may be matched to the voting roll to ensure eligibility in accordance with the Regulation. If the resolution is passed by 75% or more of valid votes received, it will be adopted.

AFTER THE BALLOT

• The Returning Officer will count and verify the votes and provide a signed statement of results to the Secretary.

• The result will be entered in the official minute book, and members will be notified of the outcome in writing.

• The result will also be formally announced at the next general meeting.
